Terms of Service

1. Identification

JWK Digital Branding is a consultancy specialized in strategic branding, visual identity and digital communication, headquartered in Fortaleza, Ceará, Brazil.

2. Scope of Services

JWK offers consulting and execution services in the following areas:

• Strategic branding and brand positioning
• Visual identity (logo, brand book, design system)
• Digital communication and online presence management
• Trademark registration with INPI (Brazil's National Institute of Industrial Property)
• Corporate email and digital platform management
• Training programs (Pandora Branding)
• Ongoing brand management (Full Branding 360°)

The exact scope of each project is defined in an individual commercial proposal, accepted by the client before work begins.

3. Contracting and Payment

3.1 Formalization

The engagement is formalized upon acceptance of the commercial proposal sent by JWK and receipt of the initial payment (when applicable). Proposals are valid for 15 calendar days.

3.2 Payment Terms

Amounts, deadlines and payment methods are defined individually in each proposal. Non-payment for more than 7 calendar days authorizes JWK to immediately suspend services, without prejudice to collection of amounts owed.

3.3 Price Adjustment

Contracts with a term exceeding 12 months may be adjusted annually by IPCA (Brazil's official inflation index) or an equivalent index, upon 30 days' prior notice.

3.4 Refunds

Services already started are non-refundable. Services contracted but not yet started may be canceled with a full refund, provided this is communicated within 48 hours of contracting.

4. Client Responsibilities

The client agrees to:

• Provide accurate, complete and up-to-date information about the business, brand and market
• Provide materials, access and resources required within agreed deadlines
• Participate in meetings and co-creation stages defined in the scope
• Review and approve deliverables within set deadlines (silence for more than 7 business days is deemed tacit approval)
• Not use JWK's services for illegal, fraudulent purposes or purposes that infringe third-party rights
• Guarantee it holds the rights to materials provided to JWK (images, text, pre-existing trademarks)

5. JWK Responsibilities

JWK agrees to:

• Perform services with technical quality and within agreed deadlines
• Maintain confidentiality of the client's confidential information
• Proactively communicate any obstacles or schedule changes
• Deliver original materials, free of third-party copyright infringement

5.1 Limitation of Liability

JWK does not guarantee specific business outcomes (sales growth, follower increase, trademark registration approval). Services are performed on a best-efforts basis, not a results-guarantee basis. JWK's liability is limited to the amount paid for the contracted service.

JWK is not liable for: strategic decisions taken unilaterally by the client after delivery; improper use of delivered materials; results of campaigns managed by third parties; or unavailability of external platforms (Google, Meta, INPI, etc.).

6. Intellectual Property

6.1 Transfer of Rights

Upon full payment for the service, JWK transfers to the client the economic rights to materials created exclusively for the project (visual identity, brand book, text, etc.), except for those based on third-party licenses (fonts, licensed images, software).

6.2 Portfolio

JWK reserves the right to use completed projects in its portfolio and promotional materials, unless the client expressly requests confidentiality in the contract.

6.3 Methodology and Processes

JWK's proprietary methodology, processes, frameworks and tools remain the exclusive property of JWK and are not transferred to the client.

7. Confidentiality

Both parties agree to keep confidential information exchanged during the provision of services secret for a period of 2 (two) years after the contract ends. This clause does not apply to information that is in the public domain or whose disclosure is ordered by a court.

8. Cancellation and Termination

8.1 By the Client

The client may cancel the contract with 30 days' prior notice. Services already performed up to the cancellation date will be charged proportionally.

8.2 By JWK

JWK may immediately terminate the contract, without refund, in the following cases:

• Non-payment for more than 15 days
• Providing false information that compromises the work
• Using the services for illegal or unethical purposes
• Abusive or hostile behavior towards the JWK team
• Requesting content creation that violates laws or third-party rights

9. Jurisdiction and Governing Law

These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the Fortaleza, Ceará district, Brazil, are elected to settle any disputes arising from this instrument, with express waiver of any other, however privileged it may be.

10. Changes

JWK reserves the right to update these Terms at any time. The current version is always available at jwk.com.br/termos. Continued use of the services after changes constitutes acceptance of the new terms.
